Terms of Service

Draft — not yet in force. This document is a working draft describing how Contractual is built. It must be reviewed by legal counsel before launch, and specifics marked “to be confirmed” will be finalized then.

Acceptance of these terms

By creating an account or using Contractual, you agree to these terms. If you're using Contractual on behalf of an organization, you're agreeing on its behalf.

What Contractual does

Contractual is an AI agent that monitors Canadian public procurement, scores how well opportunities fit your business, and drafts bid packages for your review.

Contractual assists with — but does not replace — your own judgment. It is not legal, financial, or professional advice.

Your responsibilities

You're responsible for the accuracy of the profile and documents you provide, for reviewing every draft the agent produces, and for deciding what to submit.

You must comply with the rules of each procurement portal and applicable law. The agent drafts; you approve and submit.

Acceptable use

Don't misuse the service: no unlawful use, no attempts to break or overload the platform, no reselling access, and no uploading content you don't have the right to use.

Billing & subscriptions

Paid plans are billed through Stripe in Canadian dollars on a monthly or annual cycle, and include a monthly limit on agent-prepared bids. You can upgrade, downgrade, or cancel at any time; changes take effect on your next billing cycle. Fees already paid are non-refundable except where required by law.

Your content & our output

You keep ownership of the information and documents you upload, and grant us the limited rights needed to operate the service for you. Bid drafts the agent generates are yours to use; you're responsible for verifying them before submission.

Disclaimers

Contractual is provided “as is.” We don't guarantee that you'll win any contract, or that agent output is complete or error-free. Always review drafts and extracted requirements against the source tender before relying on them.

Limitation of liability

To the extent permitted by law, Contractual's total liability for any claim relating to the service is limited to the fees you paid in the 12 months before the claim. We're not liable for indirect or consequential losses, including lost contracts or profits.

Termination

You can cancel anytime. We may suspend or terminate access for breach of these terms or misuse of the service.

Governing law

These terms are governed by the laws of the applicable province and the federal laws of Canada. (Governing jurisdiction to be finalized before launch.)

Changes to these terms

We may update these terms as the product evolves and will post the revised version here with a new date. Continued use means you accept the changes.
